education programs within

states, affiliate
organizations, and
individuals interested in
the further development of
business education.

ARTICLE III
- ORGANIZATION
Section 1 - Officers
The officers of this Association
shall be a president, a
president-elect, a secretary,
and a treasurer. The President
and the President-Elect shall
both be elected for a term of
one year with the
President-Elect automatically
moving to President.
The Secretary and the Treasurer
shall be elected for two-year
terms, and the election to these
two offices shall be in
alternate years. Upon completion
of a two-year term, the officer
(either Secretary or Treasurer)
shall move into the position of
President-Elect. In the years of
election for either of these
offices, the nomination will
rotate from East, to Middle, to
West Tennessee. If nominations
cannot be obtained from the
appropriate region, nominations
may be accepted without regard
to region of the state, and
those persons may be elected
without regard to region of the
state.
If for any reason a vacancy
occurs in any office, it shall
be filled by the Executive Board
until the succeeding election.
The position, thus vacant, shall
be filled in the following
manner:
The presidency shall be assumed
by the President-Elect; all
other positions shall be filled
by action of the Executive
Board.
Section 2 - Executive Board
The Executive Board shall
consist of the officers of the
Association, the Past President,
the elected regional board
members, the Tennessee
Educational Consultant for
Business Technology Education
(or similar position in the
State Department of Education),
the SBEA State
Representative/NBEA Membership
Director, the Publication
Editor, the Legislative
Representative, and the Student
Representative.
Section 3 - Special
Committees
Such committees as are necessary
for the conduct of the work of
the Association shall be
appointed as needed by the
President of the Association.

ARTICLE
IV - MEMBERSHIP
All persons who are interested
in working for the improvement
of business education are
eligible for membership in the
Association.
The annual membership period
shall extend from July 1 through
June 30.
The amount of the annual dues
shall be set by the Executive
Board and approved at a meeting
of the Association.

ARTICLE
V - MEETINGS
The Association shall hold an
annual conference.
The date, place, and time of the
conference shall be designated
by the Executive Board. The
annual business meeting of the
Association shall be held at the
same time and place as the
conference.
The assembled members at a
regularly scheduled meeting
shall constitute a quorum for
the transaction of business. The
rules of parliamentary procedure
as laid down in Robert's
Rules of Order, Newly Revised, shall
govern all meetings of the
Association.

ARTICLE VI
- INTERNAL REVENUE DISSOLUTION
AND LIMITATIONS
Section 1 - Dissolution
In the event of dissolution, the
residual assets of the
organization will be turned over
to one or more organizations
which themselves are exempt as
organizations described in
sections 501(c)(3) and 170(c)(2)
of the Internal Revenue Code of
1954 or corresponding sections
of any prior or future law, or
to the Federal, State, or local
government for exclusive public
purpose.
Section 2 - Internal Revenue
Limitations
Notwithstanding any other
provision of these articles,
this corporation will not carry
on any other activities not
permitted to be carried on by
(a) a corporation exempt from
Federal income tax under section
501(c)(3) of the Internal
Revenue Code of 1954 or the
corresponding provision of any
future United States internal
revenue law or (b) a
corporation, contributions to
which are deductible under
section 170(c)(2) of the
Internal Revenue Code of 1954 or
any other corresponding
provision of any future United
States internal revenue law.

ARTICLE
VII - AMENDMENTS
A proposed amendment to this
constitution must be presented
in writing by a member of the
Association to an Executive
Board member. The Executive
Board shall review the proposed
amendment(s) at its next called
or scheduled meeting and notify
the membership of any
recommended amendment(s) no more
than 60 days and no fewer than
14 days prior to the meeting at
which action is to be taken.
This constitution may be amended
by a two-thirds vote of the
members present at a regularly
scheduled meeting.

ARTICLE
I - ELECTION
At least three months prior to
the Association's annual
conference, the President shall
appoint the Nominating Committee
chaired by the Past President
and including two other members.
The three regions of Tennessee
shall be represented on the
Nominating Committee. The
Nominating Committee shall
prepare a slate of officers and
regional Executive Board members
to be presented during the
business meeting at the annual
conference. The Nominating
Committee shall verify the
eligibility of all candidates
before placing their names on
the slate.
Elected officers and other
elected Executive Board members
shall assume responsibility upon
installation.
The Committee shall secure the
permission of persons whose
names are to be presented.
Nominations may also be made
from the floor. If there should
be two or more candidates for a
position, voting shall be by
secret ballot. The majority vote
of members present is necessary
for election to the position.
All candidates for office must
meet eligibility requirements as
determined by the Executive
Board. All Executive Board
members must maintain membership
in TBEA and NBEA. The President,
during his/her year in office,
must maintain membership in
TACTE. The Legislative
Representative, during his/her
term on the Executive Board,
must also maintain membership in
TACTE.

ARTICLE II
- DUTIES
President: The President
shall preside at all meetings of
the Association and of the
Executive Board; shall serve as
the TBEA representative on the
TACTE Board of Directors; shall
communicate as requested with
the officers of SBEA, NBEA, and
TACTE; shall represent the
Association at the annual SBEA
and TACTE conventions and, when
possible, at the annual NBEA
convention; and shall be an
ex-officio member of all
Association committees except
for the Nominating Committee.
The President shall appoint a
parliamentarian from within the
Executive Board. The President
shall also appoint, with
approval from the Executive
Board, the SBEA State
Representative/NBEA Membership
Director, the Publication
Editor, the Legislative
Representative, the Student
Representative, the Historian,
and the Webmaster.
The President shall have the
power to appoint alternates for
any duty that the elected or
appointed individual may not be
able to perform.
President-Elect: In the
absence or inability of the
President, the President-Elect
shall assume the duties of the
President.
The President-Elect shall serve
as chairman of the annual
conference and work closely with
all committee chairpersons.
Secretary: The Secretary
shall attend to all
correspondence of the
Association and keep a correct
and permanent record of the
minutes of the meetings of the
Association and of the Executive
Board in a book provided for
this purpose.
Within 30 days following a
meeting, the Secretary shall
provide the Executive Board with
a copy of such minutes.
The Secretary shall present
special reports as requested by
the President and/or Executive
Board and keep any other records
and materials necessary to
facilitate the operation of the
Association.
Treasurer: The Treasurer
shall maintain a complete record
of the members of the
Association, have custody of all
money belonging to the
Association, pay all Association
bills approved by the Executive
Board, secure audit of records,
keep a record of all expenses
and income, and present special
reports as requested by the
President and/or the Executive
Board.
Past President: The Past
President shall advise the
Executive Board, assist the
President at the latter's
request, and serve as
chairperson of the Nominating
Committee.
Regional Representatives:
Regional Representatives shall
represent their respective
regions of the state and shall
serve on the Executive Board for
a three-year term. These
representatives shall be
responsible for making
recommendations to the Executive
Board, participating in
decisions made by the Executive
Board, and helping recruit and
maintain membership in TBEA
within their respective regions.
Executive Board: The
Executive Board shall be the
Executive authority of the
Association.
The Executive Board shall be
responsible for the management
of the Association, approve
expenditures, carry out policies
established by the Association,
report its transactions and
those of the Association to the
members, and suggest policies
for consideration by the
Association.
The Executive Board shall have
full authority to speak and act
for the Association between
general meetings of the
Association. It will hold such
meetings as are necessary to
formulate policies for the
Association and to devise
effective means of considering
recommendations made to it by
its officials. It shall give
general direction to the entire
Association program and make
recommendations to be acted upon
by the membership.
Appointed or non-elected
positions to the Executive Board
shall be the following:

The Tennessee Educational
Consultant for Business and
Technology Education (or
similar position within the
State Department of
Education) shall serve on
the Executive Board for the
period of his/her employment
by the State of
Tennessee.

The SBEA State
Representative/NBEA
Membership Director shall
serve on the Executive Board
for a three-year term in
accordance with SBEA Bylaws.
This representative shall be
responsible for recruiting
and maintaining members in
both TBEA and NBEA and
shall report on TBEA and
NBEA membership and on SBEA
activities at each Executive
Board meeting.

The Publication Editor shall
be responsible for all
Association publications as
determined by the Executive
Board. This position will
coordinate the creation and
maintenance of such
publications with the
Webmaster and the Historian.
He/she shall assist in
making recommendations to
and report to the Executive
Board.

The Legislative
Representative shall serve a
three-year term in
accordance with SBEA Bylaws.
This representative is also
a member of the SBEA
Legislative Committee.
He/she shall initiate,
coordinate, and support
legislative activities that
shall promote business
education and shall report
to the Executive Board. The
Legislative Representative
must also maintain
membership in TACTE during
his/her term of office.

The Student Representative
shall represent the student
membership in the
Association and shall serve
on the Executive Board for a
one-year term. The Student
Representative will be an
undergraduate or graduate
student majoring in business
education or related field
and must be a student member
of both TBEA and NBEA. This
representative shall also be
responsible for making
recommendations to the
Executive Board,
participating in decisions
made by the Executive Board,
and helping recruit and
maintain student membership
in TBEA.

The Historian shall be
responsible for preserving
the Association’s history
through the organization and
maintenance of recorded
historical information of
the Association, including
the chapter scrapbook. The
Historian is an ex-officio,
non-voting member of the
Executive Board and is
encouraged to attend all
Board meetings.

The Webmaster shall be
responsible for the
development and maintenance
of relevant and current
information as well as
content facilitation for the
Association’s Web site. The
Webmaster is an ex-officio,
non-voting member of the
Executive Board and is
encouraged to attend all
Board meetings.
Also, should unexpected
vacancies arise, the Nominating
Committee should present names
representing institutions of the
varied levels of education to
fill this/these vacancy(ies) in
compliance with the above
geographic divisions. If the
Association is unable to secure
nominations from the appropriate
levels of education to fill
this/these vacancy(ies), the
Nominating Committee may
nominate persons without regard
to teaching level.
A majority of the membership of
the Executive Board shall
constitute a quorum.
The Executive Board shall meet
on the call of the President.

ARTICLE III
- COMMITTEES
Special Committees: The
President shall appoint the
chairpersons and members to
special committees as the need
arises.
Conference Planning
Committee: The Conference
Planning Committee shall be
chaired by the President-Elect,
who shall appoint the
chairpersons and members of the
required conference committees.
Nominating Committee: At
least three months prior to the
Association's annual conference,
the President shall appoint the
Nominating Committee chaired by
the Past President and including
two other members. The three
regions of Tennessee shall be
represented on the Nominating
Committee. The Nominating
Committee shall prepare a slate
of officers and regional
Executive Board members to be
presented during the business
meeting at the annual
conference. The Nominating
Committee shall verify the
eligibility of all candidates

Representatives to the SBEA
Leadership Conference: A maximum
of three members shall be
appointed by the Executive Board
to represent TBEA at the SBEA
Leadership Conference. When
possible, one representative
should be from each section of
the state (East, Middle, and
West).

IV - DUES
Each member shall pay annual
dues to the Association. The
annual membership period shall
extend from July 1 through June

The Executive Board shall review
and recommend the amount of
annual dues at the Board meeting
immediately preceding the
Conference.

TBEA Conference: As set forth
in the Constitution, the
Executive Board shall designate

Tennessee Vocational
Education Conference: The
Association shall conduct a
session during the Tennessee
Career and Technical Education
Conference.
